In an excellent article published by InfoMoney and authored by lawyers specializing in M&A, doctors Michel Haber and Marcelo Shima Luize, both partners at the law firm Eick, Haber, Grezzana & Nascimento Advogados, the issue of acqui-hire (in which a company buys not exactly another company, but primarily its body of founders and collaborators, sometimes with some technology involved) receives a high quality technical and analytical treatment. Must read.
I would add something obvious: acqui-hire is not a cunning crutch to buy without paying or wanting to pay cheaper for a valuable asset. It’s an acquisition resource that only works if it’s good for all sides (as in all businesses, by the way… I said it was obvious), with the incremental factor that you’re “buying people”. Incorporating talent and knowledge. Not revenue and bottom line.
I insisted on the obvious because many companies and investors sometimes confuse breaded steak with steak right there on the table.
